1. Acceptance of Terms

By accessing or using any service provided by Duaba Connect ("Duaba Connect", "we", "us", or "our"), a product of DuabaLabs, including our social media automation platform, scheduling tools, analytics dashboard, engagement automation, and API services (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms").

If you do not agree to these Terms, you must not access or use our Services. We reserve the right to modify these Terms at any time. Continued use of the Services after changes constitutes acceptance of the updated Terms.

2. Definitions

  • "User" means any individual or entity that accesses or uses the Services.
  • "Account" means a registered user profile on the Duaba Connect platform.
  • "Content" means any text, images, videos, or materials uploaded, scheduled, or published through the Services.
  • "Connected Account" means a third-party social media account linked to your Duaba Connect account.
  • "Automated Actions" means scheduled posts, auto-replies, engagement automation, and other actions performed by the platform on your behalf.
  • "Platform" refers to the Duaba Connect website, application, API, and all related digital properties.

3. Eligibility

You must be at least 18 years of age to create an account or enter into a commercial agreement with Duaba Connect.

By using our Services, you represent that you have the legal authority to enter into these Terms on behalf of yourself or the entity you represent, and that you have the right to authorize actions on the social media accounts you connect.

4. Account Registration & Security

  • You must provide accurate, complete, and current information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials.
  • You must immediately notify us of any unauthorized access to your account.
  • You are responsible for all actions taken through your account, including automated actions on connected social media accounts.
  • We reserve the right to suspend or terminate accounts that violate these Terms or platform policies.

5. Social Media Account Authorization

By connecting social media accounts to Duaba Connect, you:

  • Authorize us to access, read, and publish content on your behalf through official platform APIs
  • Confirm you have the right to authorize such access for the accounts you connect
  • Acknowledge that automated actions are performed according to your configured settings
  • Understand that you can revoke access at any time through your account settings or the social platform directly
  • Agree to comply with each connected platform's terms of service and community guidelines

6. Acceptable Use Policy

You agree not to use the Services to:

  • Violate any applicable law, regulation, or third-party rights
  • Violate the terms of service of connected social media platforms
  • Publish spam, misleading content, or engage in inauthentic behavior
  • Harass, abuse, or threaten other users or social media users
  • Distribute malicious content, viruses, or harmful software
  • Circumvent social media platform rate limits or automation restrictions
  • Scrape, crawl, or extract data from our platform without authorization
  • Resell or redistribute our Services without a written agreement
  • Use the Services for mass unsolicited messaging or spam campaigns

7. Content Responsibility

You retain ownership of all Content you create and publish through our Services. By using our platform, you grant us a limited license to store, process, and transmit your Content solely for the purpose of providing the Services.

You are solely responsible for the Content you publish through our automation tools. Duaba Connect does not review, approve, or endorse any Content before it is published to your connected accounts.

8. Subscription & Payment

  • Paid subscriptions are billed on a recurring basis (monthly or annually) as selected.
  • You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period.
  • We reserve the right to change pricing with 30 days' advance notice.
  • Refunds are handled on a case-by-case basis at our discretion.
  • Failure to pay may result in suspension or termination of your account and all scheduled content.

9. Physical Support Services

For Enterprise customers utilizing physical marketing support:

  • Physical support is provided by on-ground teams coordinated by Duaba Connect in select African markets.
  • Scope, timelines, and deliverables are defined in separate service agreements.
  • We make best efforts but cannot guarantee specific outcomes from physical marketing activities.
  • Additional fees may apply for physical support services beyond your subscription.

10. API Usage

If you access our API:

  • You must comply with our API documentation and rate limits.
  • API keys are confidential and must not be shared or exposed publicly.
  • We reserve the right to revoke API access for abuse or violation of these Terms.
  • API availability is provided on a best-effort basis.

11. Service Availability & Limitations

We strive for high availability but do not guarantee uninterrupted service. Our Services depend on third-party social media platform APIs, which may experience downtime, rate limiting, or policy changes outside our control.

We are not liable for failed or delayed content publishing, engagement automation, or analytics reporting caused by third-party platform issues.

12. Limitation of Liability

To the maximum extent permitted by law, Duaba Connect and DuabaLabs shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of revenue, profits, data, or business opportunities
  • Actions taken by social media platforms against your accounts
  • Content published through automated actions that you configured
  • Service interruptions caused by third-party platform changes

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Termination

Either party may terminate the agreement at any time. Upon termination:

  • All scheduled content will be cancelled
  • Automated actions will cease immediately
  • Social media access tokens will be revoked
  • You may export your data within 30 days of termination
  • We reserve the right to delete your data after the export window

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Republic of Ghana. Any disputes shall be resolved through arbitration in Accra, Ghana, unless otherwise agreed upon in writing.
